By-Laws


ARTICLE I
NAME

The name of the association shall be Arizona Amazons, which may also be hereinafter referred to as "AZ Amazons", and/or the "association".

ARTICLE II
PURPOSE

To establish and maintain a communication, information, education and support network for the female BDSM community.

To provide a forum for the exchange of knowledge in and about our diverse community.

To build and encourage an environment where S&M, B&D and all fetishes are experienced with acceptance, caring, respect and dignity, while adhering to safe, sane and consensual concepts.

To extend an outreach to, and contacts with, other groups, organizations and communities who share similar interests and concerns for alternative lifestyles.

This organization shall be operated as a not-for-profit organization and all monies received shall be used for the expense of operations of the organization and its activities, and any other purposes as determined by the Council of Crones. No monies shall be paid to association members or Council of Crones, or Chairs for payment for duties as volunteers. Any reasonable expenses incurred in the duties of volunteers in this association shall be reimbursed by the association at the request of the volunteer.

ARTICLE III

Member - Has a signed "Guest Consent Form" on file, has attended one meeting and paid a fee of FIVE DOLLARS for initial membership and THREE DOLLARS per year renewal for membership privilege. Members pay a party fee of ONE DOLLAR when the party is held at a private home. Parties that are co-hosted with the women of Apex held at the Apex play space, a party fee of FIFETEEN DOLLARS applies per our agreement with Apex. Members must attend at least 2 Amazons events per year in order to maintain their membership.

ARTICLE IV
COUNCIL OF CRONES

There shall be an AZ Amazons COUNCIL OF CRONES, who must be Members for a period of one month prior to nomination, shall be elected by the membership as further detailed below. The Council of Crones shall be empowered to make decisions and generally operate the association. The decisions of the Crones shall be final in all matters, which shall come before the Crones. The Council shall follow simplified parliamentary procedures and no proxies shall be used. A Quorum for the transaction of business shall be a majority of the total currently existing Council members. The Council may consist of FIVE to SEVEN members.

ARTICLE V

New Crones are appointed by majority vote of the Council of Crones. Crones relinquish their position by abandonment of two meetings in a row without notice to another Crone; retirement; or death. OFFICERS & CHAIRS

There shall be various chairs appointed by the Council of Crones, who must be Members and who shall be responsible for various functions and activities as necessary and/or desirable to the operation of the Arizona Amazons. These chairs may, or may not, happen to also be among the Council of Crones, but there is no requirement either way. These chairs may, or may not, head up active committees, according to the requests of the Council. Unless as the result of an earlier resignation or abandonment of their positions, these chairs shall serve from the time of their appointment by the Council until the new Council will again appoint chairs for the next year, which may be the same or different persons. All Chairs serve at the pleasure of the Council of Crones and may be removed by a majority of the Council of Crones, with or without cause. These chair positions may include but need not be limited to: Newsletter Editor and Contributing Writers, Corresponding Secretary, Phone Volunteers, Orientation, Advertising, Party Planning. WebMaster and Program.

ARTICLE VI
ABANDONMENT OR NEGLECT OF CRONE POSITIONS

The Council of Crones shall be considered operating and working positions necessary to the functions of this organization. If a person resigns, disappears or has been absent from the meetings of the Crones for more than three regularly scheduled events. Unless their absence from such meetings has been excused by the approval of a majority of the Council of Crones, then the Council of Crones must deal with this vacancy.

Whenever the Council of Crones determines and declares a Crone position to be abandoned and vacant, a successor to that position shall be appointed to that possition.

ARTICLE VII
INSIGNIA AND NAME
(ARIZONA AMAZONS and AZ AMAZONS)

An official logo will be attached to these bylaws and may be used on printed or other material, wherever deemed appropriate by the Council of Crones. Members may use the official insignia on clothing and apparel, so long as they have Member status as defined in Article III.
No member shall use the official insignia or organizational name on printed items which are used for that Member's business purposes, or personal money-making efforts or to represent events or functions which are not officially sanctioned as being Arizona Amazons events or functions.

ARTICLE VIII
MEETINGS OF THE MEMBERS

The Council of Crones is not required to have or call any Membership Meetings unless the Council of Crones feels there is some pressing need for such an official business meeting of the membership. There will generally not be a need for such a meeting since the Council of Crones have the final word.

ARTICLE IX
AMENDMENT OF BYLAWS

These bylaws may only be amended by a majority vote of the Council of Crones. 2/24/98
